These terms and conditions govern your access to the website infillthinking.com, and all content produced by Infill Thinking including emails, posts to social media, and website content (collectively “the website”).

These terms apply however the website is accessed (by web browser, mobile device, email, paid subscription, tablet, printed pages or any other means). “You” and “Your” refer the user of the website. “Infill Thinking”, “we”, “us”, and “our” refer to Infill Thinking, LLC and our representatives.

If you do not agree to be bound by these Terms of Use, you may not use or access the website. By using the website, you expressly agree to accept and be bound by these Terms, and by association our privacy policy, Subscriber Agreement (if you chose to subscribe), and our Payment Policy (if you chose to make payments).

Infill Thinking reserves the right to modify or change these terms at any time with or without notification to users. We encourage you to review this page regularly for updates to the terms binding you. Changes are effective immediately upon posting and apply to all use of the website by any member or visitor thereafter. Continuing to use the website signals your agreement to policy changes. Infill Thinking is not intended for use by minors.

Access

We reserve the right to take down or change the website and any service on it at our sole discretion and without notice to subscribers or other visitors. We do not guarantee uptime, and Infill Thinking is not liable for the website being down for any period of time. We may restrict certain areas of the website at any time to some or all users with or without notice to those users. You are solely responsible for making arrangements to access the website and ensuring that anyone who access the website through your connection does so in accordance with these Terms.

Access to the website is a privilege not a right, and we reserve the right to refuse service or change our prices at our sole discretion at any point during any member’s subscription or term of service.

Registration and Subscription

There is no obligation to purchase anything in order to access the website; however, some of the website’s services are accessible only after a subscription has been purchased. Portions of the website require you to register as a member or subscriber in order to view certain material or receive newsletters. This restricted content may change at any time without notification to subscribers or other visitors at Infill Thinking’s sole discretion.

All user information requested by us to view these restricted areas must be correct, current and complete. You agree that any and all information you provide to Infill Thinking at any time is governed by our Privacy Policy, and you consent to all actions we take with your information in accordance with our privacy policy.

You agree to treat your username and password to the website as confidential information and not share such information with anyone.  Sharing login credentials is cause for subscription termination without refund, ban from future membership to Infill Thinking, and legal action. You also agree to notify us of any breach of access or unauthorized use of your account credentials. We reserve the right to deactivate any account credentials without any recourse (no refund) at any time if we detect a violation of any portion of our Terms, including our Subscriber agreement.

Intellectual Property

The website and all of its content, features, and functions (including newsletter material) are owned by Infill Thinking and are protected by United States and international copyright trademark, patent, trade secret and intellectual property rights laws. We reserve the right to deactivate (and ban from future access) any user’s account who we believe is re-purposing our content in any form without our express written consent. This right pertains to violations including both full republishing or summarizing our work on other websites or publications for mass distribution. This right pertains to both content in front of and behind our paywall. Such violations will result in deactivation of user accounts and full loss of paid subscription benefits without any recourse or right to a refund of subscription fees. Violations may also be cause for legal action. Violations may be reported to [email protected].

Under these terms of use, you receive a personal, non-exclusive, non-transferrable, revocable license to access the website. The website’s material is intended only for your personal consumption, not for reproduction, not for distribution, not for public display, not for download. Use of the content of the website in a manner not expressly permitted by these terms or the website’s owners may constitute a violation of copyright, trademark, and other laws. You may not modify copies of any materials from the website or use any content (including data, text, charts, or graphics) without express written consent from Infill Thinking.  

Areas of the website that are restricted to subscriber use only (including articles, discussion forums, and data) are made available only to paying subscribers in good standing for use only during the duration of their subscription agreement. Upon termination of your subscription, you agree to take reasonable steps to stop using all of the information obtained during your subscription. This means deleting and ceasing to access spreadsheets, downloaded articles, printed copies, and any other form of information obtained during your subscription term.

Infill Thinking and all related names and logos as well as publication names and descriptions and specific descriptions of our methodology (i.e. Three Ts) are trademarks of Infill Thinking. Use of these marks is strictly prohibited without the express written consent of Infill Thinking. To the extent other company’s logos or names or marks are included on the website in reference to subject matter of the content, these marks are property of their owners. Links to the website cannot be made in an illegal fashion or in a manner that damages our reputation.

No Warranty

The website and any information therein is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Use of the website is at your own risk. We are not responsible for the use of any files downloaded from the website or information gained from the same, nor are we liable for any potential damage resulting from their use.

As part of our subscriber package, we may make certain spreadsheets (“Think Sheets”) available for download to Infill Thinking members in good standing. The contents of these files are derived from industry sources and our experience with analyzing industry data. These files do not contain investment advice nor any other kind of formal advice. We make no assurances as to the accuracy of this information, nor do we guarantee that the data will be up-to-date, nor do we ensure that our analysis is error-free or accurate. We do not provide assurance that these works will be fit for any particular purpose or use. Forward looking contents in these files may differ materially from actual results and just as with all our content, these spreadsheets do not constitute investment advice or advice of any other kind. These files are strictly “use at your own risk” and provided “as is” and “as available.”

Violations may result in Infill Thinking account termination without recourse and other legal action.

Moreover, as with any file you download online, it is possible that information in the file could be corrupted and cause harm to your computer or files.  We encourage all readers to employ current anti-virus software and proceed with caution – we cannot guarantee that our computers are free of viruses, meaning corrupted files could be posted for download on the website. We do not warrant that these files are compatible with your equipment or that the service is free of errors or viruses, worms or “Trojan Horses,” or any other harmful, invasive or corrupted files, and Infill Thinking is not liable for any damage you may suffer as a result of such destructive features. The Subscriber Agreement and our other Terms And Conditions as stated in our policy also apply to your access to and use of these spreadsheet files.

User Contributions

The website is open to comments from subscribers and other visitors and we offer a members-only forum; however, we reserve the right to restrict these discussion features at our sole discretion. Actions we may take include modifying or deleting user comments, removing a user’s ability to comment, or closing down discussions in whole or in part at our sole discretion.

When using the comments or any discussion forum on the website, you agree to not impersonate anyone you are not, not disclose trade secrets or inside information, not solicit or directly promote or advertise any product or security, not bully or attack other readers or the author, not engage in any illegal activities, not infringe on any intellectual property rights, and generally engage in healthy productive dialog. Violations of the foregoing may result in account termination, including subscription termination without any refund. When you are reading comments, do not assume people are who they say they are or that they know what they are talking about. We do not vet, warranty, or verify any user contributions to the website. Our user contribution policy pertains not only to comments posted to Infill Thinking pages but also to summaries of reader reaction or responses that we may occassionally share on an anonymous basis in the form of an update in the publication.

We reserve the right to refuse service and take any legal action that we deem necessary regarding user contributions and comments. We reserve the right to monitor and moderate user contributions and comments in our forums. However, we assume no responsibility for comments and user contribution posted in our forums as we do not undertake a full review of all material posted. Accordingly, we assume no liability for any objectionable material posted by readers. We assume no liability for establishing that user contributions comply with relevant laws or come from verified accounts.

Infill Thinking has the right to fully cooperate with any authorities directing us to disclose information of anyone posting on the website and you agree to hold harmless Infill Thinking from any claims resulting by any action taken during an investigation by authorities. In addition to the authorities, please remember that other visitors and subscribers will be able to see your comment and we cannot prevent them from viewing comments or discussions you participate in.

Indemnification

You agree to indemnify and hold harmless Infill Thinking from any claims, losses, or damages, including legal fees, that result from a violation of these Terms and/or your use of the website and its content. Should this clause not be upheld, damages shall be limited to the subscription fee paid for the relevant period of time by the subscriber.

Jurisdiction

You consent to personal jurisdiction in any action brought in the state or federal courts located in the State of Tennessee with respect to any dispute, claim or controversy arising out of or in relation to or in connection with use of this website and/or subscription (including any claims made in contract, tort or otherwise relating to the transactions contemplated hereby), and each of the Parties agrees that any action instituted by it against the other with respect to any such dispute, controversy or claim will be instituted exclusively in the state or federal courts located in Williamson County, Tennessee or Davidson County, Tennessee.

Subscriptions, Subscriber Rights, Access & Use

Subscriber benefits include access to restricted portions of InfillThinking.com. This access may grant Subscriber access to articles, analysis and spreadsheets prepared by Infill Thinking as well as email newsletters and discussion forums with other paying members (together the “Publication”). Subscribers acknowledge and agree that the specific articles, files, and services included in the Subscription at any one time may change at any time without notice and at Infill Thinking’s sole discretion. Changes in our service offering do not compel us to refund subscription fees paid.

We reserve the right to refuse service (in whole or in part) to certain interested parties at our sole discretion. We also reserve the right to restrict access to certain plans or certain price points depending on the nature of the customer. For example, we do not offer parties engaged in the distribution of information, such as sell side research analysts or the press, access to our industry participant service.

Subscriber receives a non-exclusive, revocable, non-transferable license to access the Publication during the term specified below under this agreement. This license permits only Subscriber to receive to access and receive Publication materials. The terms and conditions defined in the General Use section of Infill Thinking’s website shall govern subscriber use of the Publication.

Subscriber will be given an individual user ID and password with which to log in and access the Publication. Infill Thinking strictly prohibits the sharing of this user ID and password. Subscriber will be emailed newsletters containing regular updates as part of the Subscription.

We make no guarantee to subscribers regarding uptime of the Publication. It is possible that the service may not be available in your area of the world or compatible with your hardware.

Subscriber acknowledges that this Agreement does not constitute a sale or transfer of property or the Publication from Infill Thinking to Subscriber. Publication and email newsletters are the intellectual property of Infill Thinking, and Infill Thinking retains title, ownership, and all rights associated with Publication. Subscriber further agrees not to infringe upon or enable the infringement of the Publication or Infill Thinking’s intellectual property in any way. Prohibited usage of the Publication by Subscriber include: reproducing, distributing in any form, mass dissemination, or posting our content (in full or in summary or derivative form) on a publicly available website, forum or outlet or other medium including marketing material and pitch decks without express written consent from Infill Thinking. Any violations of the Subscriber Agreement’s terms are cause for subscription termination without refund or recourse and potential legal action.

Exceptions to the restrictions include use in presentations to customers or colleagues or presentations at events where Subscriber may be speaking if such usage is properly and fully attributed to Infill Thinking. These exceptions are only valid during the term of Subscriber’s agreement. All rights not expressly granted to Subscriber in Agreement are retained by Infill Thinking.

Term & Termination

Agreement is effective immediately upon registration process completion by Subscriber. Agreement remains in effect for an initial term of one year (“Initial Term”).  Agreement auto-renews for additional one-year terms (“Renewal Term”) unless subscriber terminates Agreement by providing notice to Infill Thinking prior to expiration of current term.

Subscriber shall be billed upon completion of the registration process as well as at the start of any renewal term. The subscription fee is due immediately. Accounts due past one week of such date will be considered by Infill Thinking to be delinquent and Infill Thinking reserves the right to suspend such accounts until full payment is made.

Our refund policy is no refunds. We may offer free trials so potential members can see our value-add and make an informed decision on whether to purchase a subscription. For folks who no longer wish to continue, we are happy to remove your credit card from your account, disable auto-renew, and stop sending you emails if that is your wish. If you have an active subscription and no longer wish to use it, we are happy to transfer your membership to a colleague or contact at no charge – please email us [email protected] to let us know if you want us to do so.

Trial Period

From time to time, we may offer free trial periods to new Subscribers. To qualify for free trials, we may ask for personal information to verify subscriber identity. We reserve the right to decline to offer free trials to any individual at our sole discretion. During trial periods, this agreement as well as all of our other terms and conditions apply to Subscribers use of the website. Subscriber may cancel the Agreement before the expiration of the trial period without any fee. Upon expiration of the trial period, the Subscriber will be billed for the term (one year) and enter into the auto-renewal program. If we change our subscription pricing during the term, the new pricing will be effective upon renewal. New prices will be posted to the website, but we maintain no obligation to individually notify users of pricing changes. Only one free trial per person is allowed. Free trials are offered at our sole discretion and we may chose to nullify free trials on a case by case basis. We strictly prohibit teams from “daisy chaining” free trials together – although our service works on an individual basis, we reserve the right to nullify free trials when we see multiple team members taking advantage of free time.

Privacy

To protect Infill Thinking’s intellectual property and to ensure subscriber access to the Publication, we may use tracking software to monitor technical data from the Publication’s usage. We may utilize this information and other information you provide both on this website and other information in the public domain to investigate abuse of our service. These investigations may lead to the revelation of your identity to others if we have reason to believe that abuse of our service has occurred. Our software may track emails, IP addresses for logins, location information, and other data about usage to ensure subscriber compliance with Agreement. This data will be collected solely for the purpose of protecting our property, not for resale or distribution to any commercial third parties. This data is subject to the terms of Infill Thinking’s Privacy Policy, which can be found here.

Disclaimer

Subscriber acknowledges that the Publication is provided on an as-is basis with no warranties or guarantees of accuracy and with no obligation to update. Although we have no obligation to update, we may revise, edit, or update Publication content at any time. The latest edited version of any content will replace any and all prior versions of content without any notification to readers. Edited copy will replace and become the originally published content.

Infill Thinking relies on public sources, contacts, our own analysis, and our experience and perspective to assemble Publication content and make judgement about industry trends. We do not audit our sources, nor do we ensure their accuracy.

Publisher, employees, and content providers are not liable to Subscriber or any other entity as a result of access to Publication for any liability including lost profits, lost revenues, lost savings, or any damages whatsoever. If any portion of this section is ruled unenforceable, then the extent of any liability arising out of Publication shall be limited to the Subscription fee paid.

Website users expressly understand and agree to submit to the jurisdiction of the courts of the county, city, or state determined solely by Infill Thinking should any legal matter arise from Infill Thinking’s Terms & Conditions or should any legal matter arise related to the use of the Infill Thinking publication by subscribers or potential subscribers.

This Agreement (together with our General Terms, Privacy Policy, and Payment Policy) is the final and entire agreement between the parties regarding use of the Publication and supersedes all previous engagements. Neither party is an agent of the other, nor does either party have the authority to enter agreements or incur liability on behalf of the other, nor does this agreement represent any other arrangement other than the provision of the Publication from Infill Thinking to Subscriber. Should any portions of Agreement be ruled void, those portions shall be severed and the remainder will remain enforceable.

Jurisdiction

We may update this policy from time to time.  We maintain no obligation to notify users of changes.  Please refer back to this page regularly to understand the terms that bind you and how we use your Personally Identifiable Information (“PII”).

Email

Infill Thinking is committed to keeping spam out of your inbox.  We do not sell your contact information to any third parties nor do we sell your contact info to advertisers nor do we share your contact info with any other third party we believe will spam you.

Our intention is that any email you receive resulting from your provision of contact info to us is intended to communicate the Infill Thinking publications that you have elected to receive.

That said, we cannot control user contributions, and to the extent you elect to receive notification of comments in response to your contributions or to a particular post, we cannot guarantee that these will be spam-free. We also cannot ensure that a malicious attack could compromise our email database resulting in unauthorized contact by a third party. Moreover, we do not warrant that email sent by Infill Thinking or its representatives are free of errors, viruses, or any other harmful or invasive files or content.

By default, subscribers and registered members are enrolled in all of our email newsletters. Should you decide to opt-out of any of our newsletters or alerts at any time, you may click unsubscribe in the email you wish to stop receiving.

Security

Infill Thinking takes cyber security very seriously. Commercially reasonable steps are taken to protect all user information we collect, both personally identifiable and non-personally identifiable. We work with vendors we believe are reliable and trustworthy to manage our member accounts and email newsletter service. We trust our vendors to execute on protection of your information, but we cannot guarantee their effectiveness and malicious attacks and cyber security breaches do occur. Such an attack on our technology (or the technology of our vendors) could expose user information to unauthorized parties (we make no guarantees that we will be able to prevent such an attack).

Information We Collect

You are not required to provide any PII in order to visit the website, however some portions of the website do require the provision of certain PII in order to be accessed.  PII that you provide to the website may include personal contact information (such as name, email address, company name, referrer, UTM codes, and your usage of our content – i.e. opens and clicks on our emails, etc.), user name and password, the profile details you chose to provide including head-shots and bios, articles you chose to access, favorite or bookmark, searches you conduct on our website, emails or phone conversations with our staff, company affiliation, and billing information.

PII you submit via our online signup forms is stored by our third-party data processor in a secure database (encrypted at rest). This sign-up form PII includes: full name and email address, referrer and company name. This information is used to administer your account and to provide the products and services you have requested from us. From time to time we will email you with our product, which may include marketing material. We rarely call by phone unless there is a problem with your account, and in that case we look to public records to identify a good phone number as this is not information we request from you to sign up.

Our data processor does not use your PII for any other purpose other than to provide back office support for our membership service so we can provide the service you requested from us. We only send your PII to necessary service providers to help us administer your account (billing, membership handling, and email newsletters). We will inform you of any significant security breach that our data providers notify us of within 72 hours of such notice being provided to us.

You have certain rights as to how we record and store your personal data including: i) rectification – the right to request that we correct any incorrect personal information, ii) erasure – you have the right to be forgotten and we will delete all your personal information stored in our records upon your request (such a request will result erasure from any internal records we maintain online related to the InfillThinking.com and us issuing a request to our third-party data processors (who handle our billing, email, and membership processes) do the same, and iii) portability – you have the right to request an export of your personal information.

To make any of these requests or to be removed from our mailing lists, simply email us at [email protected], and we will execute your requests regarding your PII expediently. Upon a request for erasure, we will erase your record from our membership service, and instruct our email service and billing service to do the same; however we cannot guarantee all third-party services will immediately remove your PII as we do not have complete control over their data storage practices. We rely on top tier service providers we believe to be reputable and compliant with data privacy standards. Please note that on billing information, we use a third party vendor to process payments and as such we do not collect or maintain records of your billing details in house. For more on our billing practices, please refer to the Payment Policy, which you can find here.

In addition to signup data when you request our services, PII may also include user contributions to the website (for example comments on articles we write or participation in the discussion forum or guest blog posts). User contributions are posted at your own risk as we cannot control actions of others who may view your contributions, and, as such, we cannot ensure that unauthorized parties might view that information. We encourage members to think carefully about the information they post in the form of user contributions. If you wish to remove a user contribution you have posted, you may contact us at [email protected].

This Privacy Policy does not apply to information that may be gleaned by third parties accessing the website (for example, other subscribers may be able to collect information about you if you comment publicly on one of our articles). Moreover, if you follow links to other websites that are found in our articles or forums, this Privacy Policy does not apply to the websites you arrive at which are not managed by us.

The information we gather about users is primarily collected for three reasons: i) provide the services you requested, ii) protect your edge (we make sure that only users that pay for our premium services have access to it), and iii) to deliver a better user experience on the website. Point iii) may mean several things including but not limited to a) making changes to the website to improve user experience or b) presenting users with content we believe is relevant to their interests.

To protect Infill Thinking’s intellectual property and to ensure subscriber access to the Publication, we may use tracking software to monitor technical data from the Publication’s usage. Much of this information is collected automatically. Like most other online service providers, we collect information that web browsers, mobile devices and servers typically make available such as IP address, language preference, and date and time of access. We may utilize this information and other information you provide both on this website and other information in the public domain to both make our service better as well as to monitor and protect the security of our services, and detect and prevent fraudulent transactions, and to communicate with you about offers that we think will be of interest to you, solicit your feedback or keep you posted on our products and services. These investigations may lead to the revelation of your identity to others as part of our investigation if we have reason to believe that abuse of our service has occurred. Our software may track emails, IP addresses for logins, location information, and other data about usage to ensure subscriber compliance with Agreement. This data will be collected solely for the purpose of protecting our property, not for resale or distribution to any commercial third parties. We do not sell your information. We do not sell your specified interests so that advertisers can target you. We do reserve the right to assess demographics and professions of our membership in aggregate to present audience studies to potential partners. No member names are shared in the aforementioned analysis – only aggregate data. It is possible that our advertising policy may change in the future, which could change the way we treat personal information. Notification will be provided in the form of an update to this policy if and when this changes. The PII you provide us is the sole property of Infill Thinking, and it is not disseminated to third parties unless required by law or in the event of a few exceptions including but not limited to:

  1. If you chose to post a comment or use social media to share, your information submitted may be viewable to the general public.
  2. We employ third parties to handle certain services for us including but not limited to backing up the website’s content, distributing newsletters, handling membership accounts, and billing.  These parties have access to specific information about you only for the purpose of fulfilling contracts on our behalf.
  3. Should Infill Thinking undergo a corporate change (such as a change in ownership, bankrutpcy, or sale of a portion of the business to an investor), we may be required to transfer your information. In that case, we cannot make any guarantees about how the new ownership will treat your PII.
  4. When negotiating enterprise subscriptions licenses with companies in the industry, we may provide our contacts organizing the group rates with a list of names of individuals from that company that have either a) taken a free trial or b) subscribed in the past. This is done in the interest of getting our readers a discounted rate paid for by their employer for the benefit of the group (more readers = bigger discounts). Beyond group rate negotiations, we do not share with companies any lists of our specific readers.

In addition to the information you provide directly, we collect additional information about users via technology and autonomously (examples include third party cookies, ip addresses, web beacons). Examples of the information that may be collected via these methods includes browser specs, geo-location, device type, operating system, bandwith, hardware info, software info, analytics info such as time spent on site or pages viewed or sharing or browsing info, or other info collected by other technologies that we use to monitor visitors. We do not disclose this information to third parties for our commercial gain at the personal level; however, we may discuss user demographics in general (for example X% of our readership is engaged in the X industry). Third parties (like research companies and social media platforms and online marketing firms) may collect additional information about you including but not limited to demographic details, advertising information, and/or social networking information.

Unless you request erasure, we intend to retain information provided and collected for as long as the website is in existence (or for as long as our third party vendors systems retain such information). This is because the services we provide are regular market intel (not a one time purchase). Even when your paid subscription expires, you’ll continue to receive free market intel from us. So when you sign up for our services, we will send you our product for as long as a) you remain opted in and b) we remain in business. To opt-out any time, email [email protected].

Our Billing Service Providers

We partner with Stripe to execute subscriber payment transactions. We partner with Memberful to manage member sign-ups and renewals. Because of this, we do not see, record, handle or process your billing specifics (such as your credit card number).

Memberful uses Stripe to securely process payments. Card data is sent securely to Stripe before your payment form is submitted. Neither Infill Thinking nor its representatives nor Memberful see Subscriber credit card data. Only Stripe does. Stripe is PCI compliant and secure.

Through our membership and billing service providers, we do have access to certain information such as your user name/email and your account expiration.

Please refer to their terms and privacy policies for details on how your billing information is handled and how transactions are executed (Stripe’s policy and Memberful’s policy).

Trial Offers & Pricing

We may offer trial periods from time to time to new members. Existing members are not eligible to participate in our free trial offers. To see our latest free trial offers and pricing, click here. Pricing is subject to change at any time. Pricing updates will only impact renewals, not existing paid terms. If our pricing changes, members will receive notification of the change at the email address they provided when they signed up before being billed with the updated pricing.

Enterprise Solutions

Bulk membership discounts are available to organizations that wish to sign up groups of employees. Email us at [email protected] with the number of members you wish to sign up for pricing details. Enterprise subscriptions must be paid by check.

Payment Due

We bill for annual terms in annual payment installments. Payment for the first year of service is due immediately upon signing up for your subscription (or at the end of your free trial period). Subscriptions auto-renew each year, and you’ll be charged in full for the next year upon the expiration of the current year’s term unless you cancel your account before your next billing date.

Cancellation

You may turn off the auto-renew feature at any time, which will effectively end your subscription upon the completion of your remaining paid term. To do this, log in and access your account from the home page then click subscriptions and turn off auto-renew. You may also send us an email at [email protected] should you wish for us to cancel your account at any time. You may unsubscribe from our newsletters at any time by clicking unsubscribe. If you turn off auto-renew, it is possible that you’ll continue to receive email from us beyond your final date.  If you wish to stop receiving email, unsubscribe using the link at the bottom of our emails.

Payment Methods

Through our transaction vendor, Stripe, we accept several different major credit cards as payment. You may also send us a check by mail if you prefer, and we will activate your account upon clearing your paper payment. To inquire about paying by check, email us at [email protected]. Enterprise solutions must be paid by check.

Refunds

Because of the low cost and short term of an Infill Thinking membership, we do not offer a money back, satisfaction guarantee. We also don’t expect to be asked for refunds very often because we trust that subscribers will love the value they get from their subscriptions.
